What We Do
From coastal ecosystem to high-integrity carbon asset
Bahari Nature Capital originates, certifies, structures, and commercialises coastal carbon assets across Tanzania and the wider Western Indian Ocean. Registered under GN 636 (2022), the company holds commercial authority over the projects it develops and is the counterparty in all certification, offtake, and investor engagement. Action for Ocean (AFO) operates as field delivery partner under formal agreement.
Our Origin
Built to convert groundwork into a bankable asset
Bahari Nature Capital Limited was incorporated under Tanzania's GN 636 (2022) carbon trading regulations, specifically Regulation 34(3)(d), as the dedicated commercial entity to unlock blue carbon value across Tanzania's coastal seascape.
The company's founding draws on three years of pre-commercial development across 15 coastal villages in Mtwara Region: high-quality carbon sampling, socio-economic assessments, legal and policy analysis, and governance diagnostics that validated MBREMP's ecological potential and community readiness as a carbon project site. That work established the foundation. Bahari Nature Capital was incorporated to convert it into a credit-ready, investable asset, and gave that flagship programme its name: Kaboni Yetu.
Carbon origination at institutional quality needs a dedicated entity: one that can engage investors, negotiate offtake agreements, coordinate with Plan Vivo and the National Carbon Monitoring Centre, and move at market pace. Field delivery (community engagement, ecological restoration, and field-level MRV monitoring) is provided under formal contract by Action for Ocean (AFO), a registered Tanzanian marine conservation NGO with deep operational presence across the MBREMP coastal landscape. AFO is Bahari Nature Capital's founding conservation partner; its role is field delivery under agreement, and Bahari Nature Capital's role is commercial origination and market access.
"The barrier in Tanzania is not a lack of interest in blue carbon. It is the complexity of getting from a conservation ambition to a verified, investable programme that is genuinely community-led."
Four functions, one nature finance company
Blue Carbon Credit Origination
Bahari Nature Capital identifies and develops verified carbon credits from coastal ecosystems, beginning with the Mnazi Bay mangrove landscape: our Kaboni Yetu programme, a 4,030-hectare system co-managed by 15 communities in southern Tanzania. The company structures project design, coordinates certification, administers credit issuance, and manages revenue distribution under certified benefit-sharing frameworks.
Certification & MRV Coordination
Bahari Nature Capital manages the full certification-readiness process: FPIC through community governance design, baseline establishment, methodology selection, verification-body engagement, and monitoring-system commissioning. At Mnazi Bay this is executed against a dual standard, Plan Vivo and NCMC, on a 12-month roadmap from governance compacts to operational MRV.
ERPA Structuring & Offtake Facilitation
Bahari Nature Capital leads buyer engagement and emission-reduction purchase agreement negotiation. Offtake strategy targets corporate buyers requiring high-integrity beyond-value-chain-mitigation credits aligned to SBTi pathways, CORSIA-eligible aviation buyers, and impact-first institutional purchasers.
Portfolio Development
Bahari Nature Capital is building a diversified portfolio of coastal carbon and nature-based enterprise assets. A second project, Kunduchi Eco Park near Dar es Salaam, is in early feasibility, exploring eco-tourism, biodiversity credits, and nature-based products alongside carbon.
Governance & Shareholding
What the 99% subscriber structure means
AFO holds 99% of Bahari Nature Capital's subscriber shares. Due-diligence readers should understand precisely what that means, and what it does not.
In Tanzanian company law, subscriber shares are founding equity. They establish who incorporated the company and lock in mission alignment between the founding institution and the commercial vehicle it sponsors. The structure is a mission-lock, not an operating-control mechanism: it keeps the entity that originates carbon credits and the entity that protects the ecosystems those credits represent permanently aligned in mandate, so commercial execution and conservation credibility stay aligned as the company scales.
Bahari Nature Capital's own governance, including an independent board to hold decision-making authority over certification coordination, contracts, investor relations, and revenue administration, is being established during the readiness phase. Until that board is constituted, the company is directed by its founders in coordination with AFO. Investor and buyer engagement during this phase is conducted on that basis, transparently.
At a Glance
Two entities, complementary by design
Bahari Nature Capital Limited
Private company incorporated in Tanzania under GN 636 (2022) Regulation 34(3)(d). Holds commercial authority over credit origination, Plan Vivo and NCMC certification coordination, buyer and investor engagement, ERPA negotiation, and revenue administration under certified benefit-sharing frameworks.
Action for Ocean (AFO)
Registered Tanzanian marine conservation NGO and Bahari Nature Capital's founding conservation partner and majority subscriber-shareholder. Delivers community engagement and safeguards, ecological restoration, and MRV field monitoring under formal agreement.
The two mandates are complementary by design, governed by contract, and structurally distinct. Community benefit-sharing is set as company policy and agreed with each village directly, which keeps it visible to the communities it serves and durable under Tanzanian carbon regulation rather than dependent on goodwill.
Partners & Funders
Working with the right institutions
MBREMP Authority
Co-management authority for the flagship project seascape, the Mnazi Bay-Ruvuma Estuary Marine Park. Embedded co-management supports regulatory alignment and permanence.

Inside the Readiness Phase
How the flagship is being delivered
The 12-month Mnazi Bay readiness phase (our Kaboni Yetu programme) is funded by ORRAA and the UK Blue Planet Fund. Bahari Nature Capital coordinates certification and commercial workstreams; AFO delivers community engagement, restoration, and field MRV under formal agreement. Four delivery workstreams run in parallel.
Governance and legal alignment. Work with MBREMP, TFS, district councils, and village institutions (VNRCs, VLCs, BMUs) to clarify mandates, update management plans, and establish transparent procedures for community decision-making, safeguards, and benefit-sharing. Governance Compacts are in development and adoption across the 15 villages.
Hydrology-informed restoration. Restoration of 20-30 ha of degraded mangrove using hydrology-informed site selection and right-species, right-site zoning. Two to three community nurseries produce 150,000-200,000 seedlings, with community para-scientists tracking survival, hydrology, and threats.
Community MRV and MEL systems. A verification-ready monitoring system combining georeferenced restoration data, patrol and enforcement logs, leakage-risk monitoring, social safeguards reporting, and baseline updates, feeding directly into the Plan Vivo and NCMC processes.
Livelihood diversification. Three nature-compatible livelihood pilots (from beekeeping, crab fattening, eco-tourism micro-ventures, or seaweed value addition) with a minimum 60% women participation target, reducing extractive pressure and leakage risk.
Operating inside Tanzania's carbon market
GN 636: Carbon Trading Regulations (2022)
Tanzania's primary carbon market regulation. Governs carbon rights, revenue distribution, project registration, and the roles of national and local authorities across all project types.
Revenue Distribution: Reg. 34(3)(d)
As a centrally managed marine park, MBREMP's revenue distribution follows the shares set by GN 636 Regulation 34(3)(d) across the marine park authority, village governments, district council, and the national registry, with the balance to the project developer.
Benefit-Sharing & CSR: Reg. 35
All activities are designed to comply with Regulation 35 obligations and Plan Vivo benefit-sharing standards. Bahari Nature Capital is pursuing arrangements that strengthen the community share and social licence.
